Membership & Auction Agreement

Version 1.0 · Draft operating terms for platform implementation

This draft is designed to support ProMotorBid’s registration and auction workflow. Before public launch, the final agreement should be reviewed by a Texas attorney and updated with the licensed dealer entity name, required dealer disclosures, governing law, dispute language, and any state-specific sale terms.

1. Eligibility and Account Use

You must be at least 18 years old and provide accurate account information. Accounts are personal to the registered member and may not be shared, transferred, sold, or used by another person. ProMotorBid may require identity or business verification and may suspend or close accounts for fraud, abuse, chargebacks, account sharing, false information, or violations of these terms.

2. Annual Membership

ProMotorBid offers one standard annual membership. The current membership price is $149 per year unless a valid promotion applies. Membership grants access to eligible member features and bidding; it does not guarantee that any particular vehicle will be available or purchased. Membership fees are separate from vehicle purchase obligations.

3. Auction Schedule

Unless otherwise stated, auctions close at 3:00 PM Central Time on business days Monday through Friday. Vehicles that receive no qualifying bid may be automatically relisted for the next eligible auction day. ProMotorBid may postpone, cancel, correct, or withdraw a listing when necessary because of an error, title issue, technical failure, legal concern, or other operational reason.

4. Binding Bids

Every bid submitted through an active member account is an offer to purchase the vehicle at that amount and is binding if it becomes the winning bid. Members are responsible for reviewing the listing before bidding. Mistaken bids, bidder regret, financing issues, transportation issues, or failure to inspect do not automatically cancel a winning purchase obligation.

5. Vehicle Condition — AS-IS

Unless ProMotorBid expressly states otherwise in writing, vehicles are offered AS-IS, WHERE-IS, WITH ALL FAULTS. Photos, descriptions, condition notes, vehicle history information, odometer information, announcements, and third-party reports are provided to help buyers evaluate a vehicle but are not a substitute for the buyer’s own inspection and due diligence.

6. Titles, Mileage and Disclosures

Title status, mileage, VIN, condition information, known announcements, and other listing information are provided from available records and seller or auction information. Buyers are responsible for reviewing all disclosed information before bidding. Corrections or material new disclosures may be made before the auction closes.

7. Payment After a Win

A winning buyer must pay the total amount shown in the post-sale invoice by the stated deadline. The invoice may include the winning bid, taxes, title or registration charges, transportation or other specifically disclosed charges. Accepted payment methods and instructions will be shown in the buyer’s post-sale account.

8. Failure to Pay

Failure to pay a winning purchase by the stated deadline may result in cancellation of the sale, suspension or termination of membership, loss of bidding privileges, collection activity, recovery of documented losses or costs where permitted by law, and restrictions on future accounts. ProMotorBid may relist the vehicle after a default.

9. Pickup, Shipping and Release

Vehicles will not be released until required funds and documents are received and cleared. The buyer is responsible for pickup or transportation unless another arrangement is expressly offered. Storage, transportation, export, registration, insurance, and compliance costs remain the buyer’s responsibility unless otherwise stated.

10. Taxes, Registration and Compliance

The buyer is responsible for taxes, title, registration, insurance, export, import, emissions, inspection, licensing, or other governmental requirements applicable to the transaction, except amounts ProMotorBid is legally required to collect and remit. Texas buyers should expect applicable motor vehicle sales tax, title transfer fees, registration, license plate fees, windshield registration sticker fees and other state or county charges to be added to the winning bid when required. These amounts are not included in the winning bid unless specifically stated otherwise.

11. Texas Buyer Acknowledgment

Before proceeding with payment, a Texas buyer may be required to affirmatively acknowledge that applicable taxes, title transfer, registration, license plates, registration sticker and other state or county fees are additional to the winning bid. Acceptance of this disclosure is part of the transaction record and does not replace any disclosure or document required by Texas law.

12. Website and Technical Issues

ProMotorBid may temporarily interrupt service for maintenance, security, outages, third-party failures, or technical issues. If a material system failure affects a live auction, ProMotorBid may cancel, reopen, postpone, or otherwise correct the affected auction in a commercially reasonable manner.

13. Prohibited Conduct

Members may not manipulate auctions, use multiple accounts to evade restrictions, interfere with the platform, scrape protected data, submit fraudulent payments, impersonate others, share credentials, or use the service for unlawful activity.

14. Communications and Electronic Records

By creating an account, you consent to receiving transaction-related communications electronically, including auction notices, invoices, payment reminders, account notices, and legal disclosures. You are responsible for maintaining a current email address and phone number.

15. Limitation and Disputes

To the maximum extent permitted by applicable law, ProMotorBid is not responsible for indirect or consequential losses arising from use of the platform or a vehicle purchase. Any final dispute-resolution, arbitration, venue, governing-law, class-action waiver, or similar provisions should be reviewed and approved by qualified Texas counsel before launch.

16. Changes to Terms

ProMotorBid may update these terms. Material changes may require members to accept a new version before continuing to bid. The system records the version and date accepted by each member.
